Terms of Use

The Services are offered to businesses and organizations, not to consumers acting for personal, family, or household purposes. By ordering, you represent that you are at least 18 years old, have authority to bind the entity you represent, and that the entity is a validly registered company or organization.

Certain SIP Trunk plans are restricted to companies registered in a specific jurisdiction (e.g. "Vietnam Registered Company") versus an "International Registered Company" tier. Ordering under the wrong eligibility tier may result in delayed activation, additional verification requirements, or order cancellation with a refund of amounts paid, at our discretion.

An account is created automatically after your first successful payment, using the email address provided at checkout. You are responsible for all activity that occurs under your account and for keeping your login access secure.

Activation of paid Services is contingent on completing identity verification and, where applicable, signing our service agreement. You agree to provide accurate, current, and complete identification documents when requested. We may suspend or refuse to activate any order where verification fails, is incomplete, or shows signs of fraud, and no Services will be provisioned until verification is successfully completed.

Prices, activation fees, security deposits, and contract terms (e.g. minimum contract lengths) are as displayed at checkout at the time of your order. All payments are processed by our third-party payment processor, Stripe; we do not store your full card number.

Where a plan carries a minimum contract term, early termination before that term ends may incur an early termination charge as described on the applicable pricing page. Security deposits are refundable at the end of the contract term, less any outstanding charges owed to us.

Fees are billed in the currency shown at checkout. You are responsible for any taxes, duties, or bank charges associated with your payment, except taxes on our net income.

Except where required by applicable law or expressly stated on a pricing page, fees and activation costs are non-refundable once a service has been provisioned. You may cancel a recurring service at any time effective at the end of the then-current billing period by contacting us; cancellation does not entitle you to a refund of amounts already paid unless we cancel or fail to deliver the Service ourselves.

You agree not to use the Services, and not to permit any third party to use the Services, to:

• Originate unsolicited telemarketing calls, robocalls, or spam messages in violation of applicable law;
• Spoof, falsify, or manipulate caller ID / calling line identification information with intent to defraud, cause harm, or wrongfully obtain anything of value;
• Commit or facilitate toll fraud, traffic pumping, arbitrage, or any scheme designed to generate artificial or fraudulent call volume;
• Transmit malware, conduct network intrusion, or otherwise interfere with the integrity or performance of our network or any third party's network;
• Resell, sublicense, or provide the Services to third parties without our prior written consent;
• Use the Services in violation of telecommunications, export control, sanctions, or other applicable laws in any jurisdiction where the Services are used.

Plans are subject to the fair use limits described at sign-up. Usage materially exceeding the typical usage pattern of similar customers may be billed at standard overage rates or subject to reasonable traffic shaping. We aim to meet the uptime commitments described on our Pricing page but do not guarantee uninterrupted, error-free, or completely secure service, and scheduled maintenance may cause temporary interruptions.

We may suspend or terminate your access to the Services immediately, without prior notice, if: (a) you breach the Acceptable Use Policy or any other material term of these Terms; (b) payment is overdue; (c) we reasonably suspect fraud, abuse, or illegal activity; or (d) we are required to do so by a competent authority or telecommunications regulator.

Either party may terminate a Service for convenience subject to any minimum-term and early-termination provisions that apply to that Service. Upon termination, your right to use the Services ends immediately; provisions of these Terms that by their nature should survive termination (including payment obligations, limitation of liability, and indemnification) will survive.

All content, trademarks, software, and technology used to provide the Services are owned by ConnectViet, a Cal4Care Group company or our licensors. Nothing in these Terms grants you any right to use our trademarks, logos, or brand assets without prior written consent.

Certain functions of our website and Services are provided by third-party processors on our behalf, including payment processing (Stripe), account authentication (Clerk), identity verification (Didit), and product analytics. Your use of those functions is also subject to those providers' own terms, to the extent disclosed to you at the point of use.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONNECTVIET, A CAL4CARE GROUP COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE TOTAL FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND ARE A FUNDAMENTAL BASIS OF OUR BARGAIN WITH YOU.

You agree to indemnify, defend, and hold harmless ConnectViet, a Cal4Care Group company, its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your violation of any law, or your misuse of the Services, including any misuse by end users to whom you provide access.

These Terms are governed by the laws of Vietnam, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts of Vietnam, except where applicable law requires otherwise.

Neither party will be liable for any failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet or telecommunications carrier failures, or governmental action.

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where required by law, provide additional notice. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with any order confirmation and service agreement, constitute the entire agreement between you and us regarding the Services. We may assign these Terms in connection with a merger, acquisition, or sale of assets. Our failure to enforce any provision is not a waiver of our right to do so later.
